Non-Disclosure Agreement for refr.you Beta Testing

1. Purpose

This Agreement protects confidential information shared with you as a tester during the beta testing of refr.you, a networking platform.

2. Definition of Confidential Information

"Confidential Information" includes all information related to refr.you, including platform features, functionality, interface, code, designs, documentation, feedback, bug reports, test results, performance data, personal data processed during testing, trade secrets, business plans, and intellectual property.

Information is not confidential if it becomes publicly available without your breach, was already known to you without confidentiality obligations, was independently developed by you without using Rebar information, or must be disclosed by law.

3. Your Obligations

• Use Confidential Information only for beta testing and providing feedback to Rebar.
• Keep Confidential Information strictly confidential and do not share it publicly or privately without prior written consent.
• Do not copy, reverse engineer, decompile, or attempt to derive the app's structure or code.
• Take reasonable steps to protect Confidential Information, including securing your devices and accounts.
• Do not publish screenshots, videos, or descriptions of refr.you without permission.

4. Intellectual Property

• All rights in refr.you and its Confidential Information remain with Rebar.
• Any feedback or suggestions you provide may be used by Rebar without compensation, under a perpetual, royalty-free licence.

5. Data Protection

If refr.you processes personal data, both parties will comply with the UK GDPR and the Data Protection Act 2018.

• Process personal data only for beta testing as instructed by Rebar.
• Implement reasonable security measures, including secure passwords.
• Notify Rebar immediately of any data breach.
• Do not transfer personal data outside the UK without consent and appropriate safeguards.

6. Permitted Disclosures

You may disclose Confidential Information if required by law or court order, but you must notify Rebar promptly where legally permitted so protective measures can be sought.

7. Return or Destruction

• At the end of the beta testing period, or on request, you must delete all Confidential Information relating to refr.you from your devices.
• You must confirm deletion in writing if requested.
• Rebar will delete information provided by you during the testing period.

8. Duration

Your confidentiality obligations continue for two (2) years after beta testing ends, or indefinitely for trade secrets, unless refr.you is publicly released without confidentiality restrictions.

9. Breach and Remedies

Breaching this Agreement may cause irreparable harm to Rebar. Rebar may seek injunctive relief, damages, or other remedies, and you will indemnify Rebar for losses caused by your breach.

10. Governing Law

This Agreement is governed by the laws of England and Wales. Disputes are subject to the non-exclusive jurisdiction of the courts of England and Wales.

11. Miscellaneous

• Entire Agreement: this is the complete agreement regarding refr.you beta testing and supersedes prior agreements.
• Severability: if any part is invalid, the remainder stays enforceable.
• No Waiver: failure to enforce any term does not waive Rebar's rights.
• Electronic Acceptance: by using refr.you, you electronically agree to this NDA.
